Wholesale Terms and Conditions


In order to distribute Pixel Moon products and receive wholesale pricing, all Pixel Moon stockists are subject to the following terms and conditions laid out below. Any breach of these policies will result in immediate revoking of your distribution grant, access to wholesale pricing, and may be subject to all reasonable damages as a result of the policy breach.

Please note that these policies are subject to change, and wholesale customers will be notified of significant changes.



Distribution Grant

Accepted wholesale customers ("Customer") will receive the non-exclusive right to sell Pixel Moon ("Seller") products in their store(s), subject to the terms and conditions laid out in this policy. The Customer must agree to and follow the following terms for the Distribution Grant to remain valid and in effect:

  1. The customer is the owner or approved representative/employee with buying powers of a legal business entity and storefront (brick & mortar and/or online) with their own website and are located in Canada or the USA.
  2. The Customer has all necessary permits and licenses to conduct their business and sell Pixel Moon products.
  3. All information the Customer provides to the Seller in the Wholesale registration form is valid and correct, including all locations they will sell Pixel Moon Products at.
  4. If any of the Customer’s business/contact information or selling locations has changed, the Customer will notify the Seller of the change(s) within 7 days.
  5. The Customer may not collaborate with other Business entities to sell Pixel Moon products
  6. The Customer may not directly or indirectly sell any Pixel Moon products on third party platforms, including, but not limited to: Etsy, Amazon, Ebay, etc.
  7. The Customer may only sell Pixel Moon products at pre-approved permanent store locations (brick & mortar and/or online)
  8. The Customer may sell at non-permanent and temporary locations such at fairs, markets, pop-ups, conventions, etc., so long as it is clear and communicated that the Customer is selling Pixel Moon products as a distributor and is not the copyright owner/creator of the products.
  9. The Customer may not transfer this grant to another individual or business without written consent of the Seller.

 

Wholesale Pricing and Minimum Order Quantities (MOQs)

To receive wholesale pricing, the Customer must abide by Pixel Moon’s requested minimum order quantities (MOQs) for both order total and per product. MOQs, pricing and currency are dependent on the shipping destination of the order. 

  1. Minimum first-time order: $120.00 CAD or $90.00 USD before shipping.
  2. Subsequent/repeat orders: $100.00 CAD or $75.00 USD before shipping. 
  3. Each product also has its own MOQ. For current product MOQs, please refer to the Pixel Moon Wholesale Catalog.
  4. For products with multiple variations, they may be combined to meet MOQ for that product so long as they are the same price.
  5. MOQs are subject to change at the discretion of the Seller.
  6. If Pixel Moon does not have enough stock to fulfill the customer’s order or MOQs, the Customer may alter their order or request a backorder for when items return in stock.


Termination of Distribution Grant

Both the Seller and Customer has the right to terminate the Customer's Distribution Grant and wholesale account at any time for any reason. Upon termination, the Customer will lose access to wholesale pricing. If termination occurs as the result of a breach of these terms and conditions, the Customer will no longer be allowed to sell any Pixel Moon products in their store(s), and may be liable to all necessary damages as a result of the breach. If termination occurs for any other reason, the Customer may only continue selling leftover stock of Pixel Moon products if they have written permission from the Seller. 

 

Privacy and Use of Information

Wholesale Customers are subject to Pixel Moon's privacy policy as any other Pixel Moon Customer is. In addition, the Customer agrees to also allow the Seller to collect and use the Customer’s contact and company information for the purpose of performing the following tasks:

 

  • Create and/or update a Pixel Moon customer account on the Customer’s behalf to conduct and fulfill wholesale transactions.
  • Notify the customer of any important changes and updates to wholesale and wholesale policies.
  • Share the company name, website, and store location(s) as a Pixel Moon stockist on the store website.
  • Pack the Customer’s wholesale orders on video for social media promotion/marketing (these videos will not include any personal information about the Customer or their company, but will show the products the Customer has bought).

 

Making An Order

After registration is approved, wholesale customers will be provided both an order request sheet and Pixel Moon wholesale catalog. To make an order, the Customer may use the order request sheet to identify the individual items and quantities they would like to order by referring to the SKUs, MOQs, and pricing listed in the wholesale catalog. 

The Customer can request backorders on items if there is not enough in stock to fulfill their order request. 

There are also a number of order add-ons available, such as individual product packaging (versus bulk packaging), and business cards.

To submit an order request, please email it to info@pixelmoon.ca with the subject heading:“[Your Store Name][Wholesale Order]”. The Customer should check to make sure they have fulfilled all MOQs before submitting their order request.

If there is an issue with the order form, such as there not being enough stock on an item and as a result you no longer meet MOQ requirements, the Customer will be notified and asked to make any changes necessary to your order. Otherwise, the Customer will receive an invoice for the listed items with processing time and shipping cost.

 

Shipping and Processing Times

In most cases, wholesale orders will require a processing time of roughly 5-14 days before being dispatched. This processing time may increase for reasons such as, but not limited to: large orders, made-to-order items (MTOs), and backorders. Backorders may add an additional 1-4 weeks to processing times, to allow time for those products to be restocked and checked for quality control.

The Customer is responsible for the cost of shipping.

If the Customer requires their order by a certain date, it is recommended that:

  • They create their order at least 1-2 months in advance of that date.
  • Do not request backorder on any items, in case they cannot be restocked in time. (The Customer can contact the Seller regarding backorders on particular products to receive estimates for how long they will take to restock, however, due to these estimates relying on third-party manufacturers, the estimate cannot be guaranteed.)
  • Select a faster shipping option.

For US Customers: Due to US customs duty and policies of Pixel Moon shipping partners, wholesale orders to the US may not exceed $800.00 USD in value. If the Customer would like to place an order that exceeds $800.00 USD, they may contact the Seller to discuss options, such as splitting the order into 2 orders across different dates, or finding a shipping carrier that will accept orders over $800.00, however, the Customer will be responsible for any additional shipping costs and duties/taxes that occur from orders exceeding $800.00.

 

Cancellations and Returns

The Customer may only request a cancellation of their order within 2 hours of paying the invoice. Otherwise, all sales are final.

Returns and refunds for wholesale orders can only be requested for items that are received as damaged or defective, up to 7 days after the order has been received. To request a refund/return, the Customer must contact Pixel Moon with the order number, and picture and/or video  of the damaged or defective items. If the request is accepted, Pixel Moon will cover the cost of the return shipping label.

The Customer may request a replacement order for damaged/defective items instead of a refund, but must provide sufficient proof of the damaged items. If approved by the Seller, and the items are in stock, Pixel Moon will send replacements for the damaged items, subject to what is in stock. If Pixel Moon does not have enough stock to cover replacement for all of the damaged items, the Customer will receive a refund on only the items that cannot be replaced.

Pixel Moon is not responsible for the theft and/or damage of the items that occurs after the order has been marked as delivered by the shipping company, and will not provide refunds or replacements in that case.

Pixel Moon is also not responsible for the sale of items in the Customer’s store and it is the Customer’s responsibility to sell and market the Pixel Moon items they’ve ordered. 

 

Confidentiality

Confidential information (the "Confidential Information") refers to any data or information relating to the business of the Seller which would reasonably be considered to be proprietary to the Seller including, but not limited to, new and upcoming products, restocks, wholesale pricing and policies, transactions, product stock numbers, manufacturers, accounting records, emails, business processes, and any other records and that is not generally known in the industry of the Seller and where the release of that Confidential Information could reasonably be expected to cause harm to the Seller.

  1. The Customer agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which the Customer has obtained, except as authorized by the Seller or as required by law. The obligations of confidentiality will apply until the termination of this Agreement, except in the case of any Confidential Information which is a trade secret in which case those obligations will last indefinitely.
  2. All written and oral information and material disclosed or provided by the Seller to the Customer under this policy is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Customer.

 

Ownership of Intellectual Property

All Intellectual Property, including Pixel Moon products and packaging after sale, remain the intellectual property of Pixel Moon. The Customer agrees to not claim to own, misrepresent, damage, copy, replicate, resell to other businesses, or misuse the Intellectual Property in any way that would cause harm to the Seller. The Customer will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.

 

Branding

All sale and promotion of Pixel Moon products must include Pixel Moon branding.

If the Customer is buying Pixel Moon products in bulk (no packaging):

  • "Pixel Moon" and website (https://www.pixelmoon.ca) must be visible on any added information or barcode labels 
  • "Pixel Moon" must be visible on any online store product pages.
  • "Pixel Moon" must be included on the item's receipt.
  • If the Customer is supplying their own packaging, it must be approved by the Seller and Pixel Moon company name, logo, and website must be included. The Customer may also use any other Pixel Moon branding material to create packaging upon request.
  • The Customer may not change the name of the product, except in the cases they would like to include the words: "Pixel", "Pixel Art" or "8Bit"

If the Customer is buying individually packaged Pixel Moon products:

  • The Customer may not change/alter Pixel Moon packaging without the approval of the Seller.
  • "Pixel Moon" must be visible on any online store product pages.
  • The Customer may not change the name of the product, except in the cases they would like to include the words: "Pixel", "Pixel Art" or "8Bit"

Promoting Pixel Moon products:

  • If the Customer is promoting the product (either in person or online), the promotional material (at minimum) must include "Pixel Moon" either directly on any promotional images or in the description. The Customer is also encouraged to add the website, tag Pixel Moon social media pages, and use any other Pixel Moon branding materials upon request.
